RESOLUTION NO. XXVI.253.2015

OF THE CITY COUNCIL OF ZIELONA GÓRA

dated 21 December 2015

concerning the statutes of the Central Nadodrze Archaeological Museum in Zielona Góra, with its registered office in Świdnica

Pursuant to Article 18(2)(15) and Article 40(2)(2) of the Act of 8 March 1990 on local government (Journal of Laws of 2015, item 1515, consolidated text), Article 6(1) and (2) of the Act of 21 November 1996 on museums (Journal of Laws of 2012, item 987, consolidated text, as amended), following consultation with the Minister of Culture and National Heritage, the following is hereby adopted:

STATUTES OF THE ARCHAEOLOGICAL MUSEUM OF THE MIDDLE ELBE

IN ZIELONA GÓRA, WITH ITS REGISTERED OFFICE IN ŚWIDNICA

Chapter 1.

Name, area of operation and registered office of the museum

§ 1. The Archaeological Museum of the Middle Odra Region in Zielona Góra, with its registered office in Świdnica, hereinafter referred to as “MAŚN”, is a local government cultural institution with legal personality.

§ 2. The organiser of MAŚN is the City of Zielona Góra, hereinafter referred to as the “organiser”, which provides MAŚN with the funds necessary for its maintenance and development.
§ 2.1. MAŚN is entered in the Register of Cultural Institutions maintained by the organiser under number 5.
§ 2.2. MAŚN is entered in the State Register of Museums maintained by the Minister responsible for culture and national heritage under number 20/PRM/98.

§ 3. The registered office of MAŚN is in Świdnica in the Lubuskie Province, and its area of operation is the territory of the Republic of Poland.

§ 4. MAŚN may use a round seal bearing the image of the eagle established as the emblem of the Republic of Poland, with the name of the Museum in the border: The Archaeological Museum of the Middle Odra Region in Zielona Góra, with its registered office in Świdnica.

§ 5. Whenever this resolution refers to:

1) the Articles of Association – this refers to these Articles of Association;
2) the city – this refers to the City of Zielona Góra;
3) the Mayor – this refers to the Mayor of Zielona Góra;
4) Director – this refers to the Director of MAŚN;
5) the Act – this refers to the Museums Act.

Chapter 2.

Scope of activities and the nature and scope of the collections

§ 6. MAŚN carries out activities aimed at the protection of cultural heritage in the field of archaeology.
§ 6.1. The scope of MAŚN’s activities includes the collection, storage, conservation and provision of access to cultural heritage in the fields of archaeology and history.

§ 7. MAŚN collects:

1) archaeological artefacts from ancient, medieval and modern periods, obtained from our own research and from deposits;
2) historical monuments associated with the history of the Lubusz Land;
3) archaeological documentation and materials from research carried out in the Lubuskie Province by other organisations.

§ 8. MAŚN carries out the activities referred to in § 6, in particular by:

1) the collection of cultural artefacts and documentary materials relating to archaeology:
2) enriching the collections through purchases, allocations, donations, bequests and the acceptance of items on loan;
3) inventorying, cataloguing and conducting academic research on the museum’s collection and supporting documentation;
4) the storage of the museum’s collection in conditions that ensure its complete safety, and its preservation in a manner that allows access for research purposes;
5) the protection and conservation of museum objects;
6) organising and conducting research;
7) organising permanent, temporary and travelling exhibitions;
8) conducting educational activities in the field of the arts;
9) making collections available for research and educational purposes;
10) publishing catalogues, exhibition guides, research findings and popular science publications relating to its activities and the organisation of exhibitions;
11) maintaining a library covering museology and related disciplines, and
12) making it available to researchers, students and teachers.

§ 9. MAŚN may undertake other activities to meet the social needs of the region and

to implement the principles of cultural policy.

Chapter 3.

Management and supervisory bodies, advisory bodies and the procedure for their appointment

§ 10. General supervision of MAŚN is exercised by the Minister responsible for culture and national heritage.
§ 10.1. Direct supervision of MAŚN is exercised by the Mayor.

§ 11. MAŚN is managed by a Director, who is appointed and dismissed by the Mayor in accordance with the rules and procedures laid down in the applicable regulations.
§ 11.1. The Director’s superior is the Mayor.

§ 12. The Director manages all aspects of MAŚN’s activities and is responsible for the proper management of MAŚN’s assets and financial resources.
§ 12.1. The duties of the Director of MAŚN include, in particular:

1)representing MAŚN externally;
2) overall management of core and administrative activities;
3) overall supervision of the collections and their record-keeping;
4) submitting material and financial reports, as well as investment proposals, to the organiser and the relevant authorities;
5) creating the organisational and technical conditions for planning and carrying out tasks
6) defence forces as defined by separate legislation;
7) creating the conditions for staff to enhance their professional skills;
8) overseeing the editorial board of museum publications;
9) direct supervision of research staff;
10) setting the admission fees for MAŚN and the day on which admission is free;
11) submitting proposals regarding changes to, the disposal of, or the removal of museum items from the inventory;
12) issuing internal regulations and guidelines;
13) acting as the employer in relation to MAŚN staff;
14) organising internal controls and overseeing their operation;

§ 13. The detailed internal organisation of MAŚN is set out in the organisational regulations issued by the Director, subject to the provisions governing the organisation and conduct of cultural activities.

§ 14. A Museum Council operates within MAŚN.
§ 14.2. The Museum Council consists of 5 members.
§ 14.3. The members of the Museum Council are appointed by the Zielona Góra City Council.
§ 14.4. The Museum Council operates within the scope and in accordance with the principles set out in Article 11 of the Museums Act

Chapter 4.

Sources of funding for MAŚN’s activities

§ 15. MAŚN manages its finances in accordance with the principles set out in the regulations on the organisation and conduct of cultural activities.
§ 15.1. The basis for MAŚN’s financial management is the financial plan established by the Director, taking into account the organiser’s grant.
§ 15.2. The assets of MAŚN may only be used for purposes arising from the scope of MAŚN’s activities.
§ 15.3. The Director shall ensure that the annual financial statements are prepared in a timely manner.

§ 16. The sources of funding for MAŚN are:

1) block grants and earmarked grants from the state budget or a local authority, including funds provided by the organiser in the form of grants:

  • operating grants to subsidise day-to-day activities relating to statutory duties, including the maintenance and repair of facilities;
  • project grants to finance or subsidise the costs of investment projects;
  • project grants for the implementation of specified tasks and programmes.

2) revenue from business operations;

3) funds received from individuals and legal entities, as well as from other sources;
4) income from the letting and leasing of assets.

§ 16.1. MAŚN shall allocate the revenue it generates to cover the costs of its statutory activities.

§ 17. MAŚN may, as a supplementary activity, carry out economic activities involving
the provision of archaeological and commercial services.
§ 17.1. Income generated from economic activities shall be allocated to the financing of MAŚN’s statutory activities.

§ 18. The Director is authorised to make declarations on behalf of MAŚN regarding its financial and property rights and obligations.
§ 18.1. The Director may appoint authorised representatives to perform specific legal acts on behalf of MAŚN, specifying the scope of their authority.
§ 18.2. The granting and revocation of powers of attorney shall be disclosed in the Register of Cultural Institutions maintained by the organiser, with the exception of powers of attorney for legal proceedings.

Chapter 5.

Final provisions, rules for amending the Statutes

§ 19. Any amendments to these Statutes may be made in accordance with the procedure laid down for their adoption.

§ 20. Resolution No. XV/127/2000 of the Zielona Góra County Council of 8 November 2000 on the adoption of the statutes of the Central Nadodrze Archaeological Museum in Zielona Góra, with its registered office in Świdnica, is hereby repealed.

§ 21. The implementation of this resolution is entrusted to the Mayor of Zielona Góra.

§ 22. This resolution shall enter into force 14 days after its publication in the Official Journal of the Lubuskie Province.
